Quantum Leap Healthcare Collaborative ("QLHC," "we," "us," or "our") is a California nonprofit public benefit corporation and registered 501(c)(3) organization headquartered at 580 California Street, Suite 1200, San Francisco, California 94104. QLHC serves as the sponsor of the I-SPY clinical trial platform and related adaptive clinical research programs designed to accelerate the development of personalized cancer therapies.These Terms and Conditions ("Terms") govern your access to and use of QLHC's website located at www.quantumleaphealth.org and any related pages or subdomains operated by QLHC (collectively, the "Site").
These Terms constitute a legally binding agreement between you and QLHC. By accessing the Site, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are accessing the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms.We reserve the right to modify these Terms at any time. Material changes will be posted to this page with an updated effective date. Your continued use of the Site after the effective date of any modification constitutes acceptance of the revised Terms.
The Site provides general information about QLHC's research programs, clinical trial protocols, and ongoing studies. Nothing on the Site constitutes medical advice, a clinical diagnosis, a treatment recommendation, or a solicitation to participate in a clinical trial. All clinical decisions must be made in consultation with qualified healthcare professionals.
QLHC operates as a clinical trial sponsor and is not a Covered Entity under the Health Insurance Portability and Accountability Act of 1996 ("HIPAA"). The Site does not collect or process Protected Health Information ("PHI") as defined under HIPAA. If you are a patient or research participant, your PHI is governed by the privacy practices of your treating institution and any applicable informed consent agreements, not by these Terms.
Descriptions of clinical trials on the Site are provided for general informational purposes and represent approved research designs. Participation in any QLHC-sponsored trial is subject to separate eligibility screening, informed consent, and institutional review board ("IRB") oversight at each participating site. The Site does not create or modify any clinical trial agreement, research participation agreement, or investigator obligation.
Information directed at clinical investigators, site staff, and participating institutions is intended only for those individuals in their professional capacity and does not constitute legal, regulatory, or clinical guidance specific to any particular site or study. Investigators and site staff should rely on the applicable protocol, site agreement, and regulatory guidance documents for their obligations.
All content on the Site, including without limitation text, graphics, logos, study designs, data visualizations, clinical trial protocols, publications, and software, is the property of QLHC or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.You may access and use Site content solely for personal, non-commercial informational purposes. Nothing in these Terms grants any license to QLHC's clinical trial data, study protocols, biomarker data, or research outputs, which are subject to separate data use and publication agreements.
QLHC's collection, use, and disclosure of personal information submitted through the Site is governed by our Privacy Notice, which is incorporated into these Terms by reference. Please review the Privacy Notice before submitting any information through the Site.The Site does not solicit or collect PHI, as defined under HIPAA, from patients or research participants. If you believe you have submitted PHI inadvertently, please contact us immediately at info@qlhc.org.To the extent QLHC's activities involve the personal data of individuals located in the European Economic Area or the United Kingdom, QLHC complies with applicable requirements of the General Data Protection Regulation ("GDPR") and UK GDPR, including with respect to lawful basis, data subject rights, and cross-border transfers.
The Site may contain links to third-party websites, databases, or resources, including those of participating academic medical centers, pharmaceutical company partners, government agencies, and advocacy organizations. These links are provided for convenience only. QLHC does not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. Clinical trial status information, enrollment data, and study timelines reflected on the Site are provided for general informational purposes only and are subject to change without notice.
Nothing on the Site constitutes a representation regarding the safety, efficacy, or regulatory status of any investigational drug or device studied within QLHC's research platform.
QLHC's total cumulative liability to you for any claim arising out of or related to these Terms or your use of the Site shall not exceed one hundred U.S. dollars ($100.00). Some states do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you.
Nothing in this Section limits QLHC's liability for fraud, gross negligence, or willful misconduct, or any liability that cannot be excluded or limited by applicable law.
You agree to indemnify, defend, and hold harmless QLHC, its directors, officers, employees, agents, licensors, and collaborators from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your breach of these Terms; (b) your violation of any applicable law or regulation; (c) your use of the Site; or (d) any content you submit to the Site.
QLHC reserves the right, in its sole discretion, to suspend or terminate your access to the Site at any time and without prior notice for any reason, including violation of these Terms or conduct that QLHC determines is harmful to other users, QLHC, or third parties. QLHC also reserves the right to discontinue or modify the Site or any portion thereof at any time.
Upon termination, your right to use the Site ceases immediately. Sections 4, 8, 9, 10, 12, 13, and 14 survive termination.
These Terms and any dispute arising out of or related to your use of the Site shall be governed by and construed in accordance with the laws of the State of California, excluding its conflict-of-law rules.
Any legal action or proceeding relating to these Terms or your use of the Site shall be instituted exclusively in the state or federal courts located in San Francisco County, California, and you consent to personal jurisdiction and venue in such courts.
Before initiating any formal legal proceeding, you agree to attempt to resolve any dispute informally by contacting QLHC at the address in Section 14 and providing written notice describing the nature of your dispute. QLHC will attempt to resolve the dispute within 30 days of receipt of such notice.
If you are a European Union consumer, you may also benefit from any mandatory provisions of the law of the country in which you are resident, and nothing in these Terms limits rights that applicable law does not permit to be waived by contract.
These Terms, together with the Privacy Notice incorporated herein, constitute the entire agreement between you and QLHC with respect to your use of the Site and supersede all prior agreements and understandings relating to the subject matter hereof.
If any provision of these Terms is held by a court of competent jurisdiction to be invalid, unenforceable, or void, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
QLHC's failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. A waiver of any breach of these Terms does not constitute a waiver of any subsequent breach.
You may not assign or transfer any of your rights or obligations under these Terms without QLHC's prior written consent. QLHC may assign or transfer these Terms without restriction in connection with a merger, acquisition, reorganization, or transfer of substantially all of QLHC's assets.
QLHC shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, governmental action, power failures, or telecommunications failures.

These Terms are drafted in the English language. In the event of any conflict between an English version and a translated version, the English version shall control.
